1. Acceptance of terms.
By accessing or using the American Spend website and services (collectively, the “Services”), you agree to be bound by these Terms of Service. If you do not agree to these Terms, do not use the Services.
2. Description of services.
American Spend builds and operates the Spend Graph — a structured, queryable model of American consumer spending built from licensed transaction data — and a family of products on top of it:
- Spend Market: Information markets that resolve on verified transaction data, operated at spend.market
- Revere: Consumer transaction data, structured and published for institutional use
- Knox Prime: Programmatic market access for market makers and institutional trading desks
3. Product-specific terms.
Individual products are governed by their own agreements in addition to these Terms. Use of Spend Market is subject to the terms published at spend.market. Access to Revere and Knox Prime is governed by the applicable data licensing or institutional services agreement executed with us. Where product-specific terms conflict with these Terms, the product-specific terms control for that product.
4. Acceptable use.
You agree not to:
- Scrape, harvest, or systematically extract data from the Services without written authorization
- Attempt to re-identify individuals from aggregated or anonymized data
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services or their infrastructure
- Use the Services to violate any applicable law or regulation
- Misrepresent your affiliation with American Spend or use our marks without permission
5. Data rights & licensing.
Insights, datasets, and other materials published through the Services are provided for informational purposes. Commercial use of our data products requires a license. Licensed customers’ rights and restrictions are defined by their agreements; nothing in these Terms grants any right to resell, redistribute, or create derivative datasets from our data without authorization.
6. Intellectual property.
The Services — including the Spend Graph, our software, design, wordmarks, and content — are owned by American Spend or its licensors and are protected by intellectual property laws. Except as expressly permitted, no license is granted to you by implication or otherwise.
7. Third-party services.
The Services may link to or interoperate with third-party services, including data aggregators and blockchain networks. We do not control and are not responsible for third-party services; your use of them is governed by their own terms and policies.
8. Disclaimers.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or that data and insights will be accurate or complete. See our Disclaimer for additional important notices.
9. Limitation of liability.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMERICAN SPEND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification.
You agree to indemnify and hold harmless American Spend and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your violation of these Terms or your misuse of the Services.
11. Governing law.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
12. Changes to these terms.
We may revise these Terms from time to time. The revised Terms will be posted on this page with an updated “Last updated” date. Continued use of the Services after changes take effect constitutes acceptance.
